By accessing or using Submarine Catalyst ("the Service"), located at submarinecatalyst.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Submarine Catalyst is a quantitative biotech PDUFA scoring platform that provides FDA binary event analysis, approval probability scores, convexity analysis, and AI-powered research tools. The Service is designed for informational and educational purposes only.

3. Not Investment Advice

Submarine Catalyst is not a registered investment advisor, broker-dealer, or financial planner. All scores, grades, analysis, and AI-generated research provided through the Service are quantitative signals only and do not constitute investment advice, financial advice, trading advice, or any other form of professional advice.

Trading biotech binary events, including PDUFA catalysts, involves substantial risk of loss. You may lose some or all of your invested capital. Past scanner performance, approval probability scores, and historical accuracy do not guarantee future results.

All trading and investment decisions are solely your own responsibility. You should consult with a qualified financial advisor before making any investment decisions.

4. Subscription and Billing

Access to premium features requires a paid subscription at the current rate of $49.99 per month. Subscriptions are billed monthly through Stripe. By subscribing, you authorize recurring monthly charges to your payment method.

• You may cancel your subscription at any time through the account management portal.
• Cancellation takes effect at the end of the current billing period.
• No refunds are provided for partial months of service.
• Prices may change with 30 days notice to active subscribers.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your login information or allow others to access the Service through your account. One subscription is for one individual user.

6. Acceptable Use

You agree not to:

• Redistribute, resell, or publicly share premium content from the Service
• Scrape, crawl, or automatically extract data from the Service
• Use the Service to provide competing commercial analysis services
• Attempt to gain unauthorized access to any part of the Service
• Use the AI Research Tool to generate content that violates any laws

7. AI-Generated Content

The AI Research Tool generates analysis using artificial intelligence. AI-generated content may contain errors, inaccuracies, or outdated information. You should independently verify all AI-generated claims before making any decisions based on them. Submarine Catalyst makes no warranty regarding the accuracy or completeness of AI-generated content.

8. Data and Accuracy

Scanner scores, approval probabilities, and other quantitative outputs are derived from publicly available data sources including FDA records, SEC filings, published academic literature, and third-party calendars. While we strive for accuracy, we do not guarantee that all data is current, complete, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Submarine Catalyst and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, data loss, or other intangible losses resulting from your use of or inability to use the Service.

10. Indemnification

You agree to indemnify and hold harmless Submarine Catalyst and its owner from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your trading and investment activities.

11. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
